Terms of Service

These Terms of Service ("Terms") govern your use of the TaleemSe website (taleemse.com), web dashboard (dashboard.taleemse.com) and mobile app (together, the "Service"), operated by TaleemSe ("TaleemSe", "we", "us") from the United Arab Emirates. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who these Terms apply to

• Schools — the educational institutions that subscribe to TaleemSe, acting through their authorised administrators.
• Users — administrators, teachers, staff, parents, guardians and students who are given access to the Service by a School.

A School's subscription may also be governed by a separate order form or agreement with TaleemSe. If that agreement conflicts with these Terms, the agreement takes precedence.

2. Accounts

• Accounts are created by, or with the authorisation of, your School. You must provide accurate information and keep it up to date.
• You are responsible for keeping your password secure and for all activity under your account. Tell your School and us immediately at [email protected] if you suspect unauthorised access.
• Schools are responsible for managing their users, including assigning roles and removing access for people who should no longer have it.
• Student accounts are provided at the School's discretion, and the School is responsible for any parental consent its local law requires.

3. Acceptable use

You agree not to:

• access or attempt to access data belonging to another School, or information you are not authorised to see;
• upload unlawful, harmful, abusive or infringing content, or use the Service to harass anyone;
• send spam or unsolicited messages through the Service's communication features;
• interfere with, disrupt, probe or attempt to bypass the security of the Service;
• reverse engineer, copy, resell or build a competing product from the Service, except as permitted by law;
• use automated means to access the Service in a way that places unreasonable load on it.

We may suspend or restrict access that breaches these rules or puts the Service or other users at risk.

4. School data

Schools own the data they and their users enter into the Service ("School Data"). Each School grants TaleemSe a limited right to host, process and display School Data only as needed to provide, secure and support the Service. Schools are responsible for the accuracy of School Data and for having a lawful basis, including any required consent, to collect and share it with us. How we handle personal information is described in our Privacy Policy.

5. Subscriptions, fees and payments

• Subscription plans, prices and billing terms are agreed between TaleemSe and each School. Fees are non-refundable except where required by law or agreed in writing.
• If subscription fees are not paid when due, we may limit the School's account to read-only access or suspend it after giving notice.
• Parents may be able to pay school fees through third-party payment providers, such as JazzCash or Easypaisa, when a School enables them. Those payments are also subject to the provider's terms. The School, not TaleemSe, sets the fees owed to it and handles fee disputes, refunds and concessions.

6. Our intellectual property

The Service — including its software, design, branding and content, but excluding School Data — belongs to TaleemSe and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your School's purposes while your access is active. If you send us feedback or suggestions, we may use them without obligation to you.

7. Third-party services

The Service relies on third-party services, such as sign-in with Google, push notification delivery and payment providers. Your use of those features may also be subject to the third party's terms, and we are not responsible for services we do not control.

8. Availability and changes

We work to keep the Service available and reliable, but it may occasionally be unavailable because of maintenance, updates or events outside our control. We may add, change or remove features over time, and will give Schools reasonable notice of changes that materially reduce the Service they have paid for.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Reports, calculations and documents generated by the Service — such as fee statements, report cards and payslips — should be reviewed by the School, which remains responsible for the decisions it makes based on them.

10. Limitation of liability

To the fullest extent permitted by law, TaleemSe will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount the School paid TaleemSe for the Service in the twelve months before the event that gave rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Suspension and termination

• A School may stop using the Service at any time, subject to its subscription terms.
• We may suspend or terminate access for serious or repeated breaches of these Terms, non-payment, or where required by law.
• After a School's subscription ends, we will make its data available for export for a reasonable period on request, and will then delete it as described in our Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. We will first try to resolve any dispute informally — please contact us at [email protected]. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

13. Changes to these Terms

We may update these Terms from time to time. When we make significant changes, we will update the "Last updated" date above and notify School administrators. Continuing to use the Service after changes take effect means you accept the updated Terms.
